    TermsThis document, as amended from time to time under Article 18.

    1.2 The parties to these Terms are the Company and you. No Customer, Contractor, Engineer, Affiliate, Affiliate Partner or Financing Partner is a party to the agreement between you and the Company, and these Terms do not create any contract between you and another User except as expressly described in Article 4.

    Article 2 — Acceptance and eligibility#

    2.1 You may register and use the Platform only if you are at least eighteen (18) years of age, have full legal capacity to enter into binding contracts under the laws of the Kingdom of Saudi Arabia, and are not prohibited from using the Platform under any applicable law or any prior decision of the Company.

    2.2 If you register on behalf of a company or other legal entity, you confirm that you are authorised to bind that entity to these Terms, and "you" refers to both you and that entity.

    2.3 You must provide accurate, complete and current information at registration and keep it up to date. The Company may suspend or terminate an account that was opened with false information or by a person under eighteen, and will destroy any personal data of a minor on discovery as described in the Privacy Notice.

    2.4 You accept these Terms by an explicit action on the Platform (for example, ticking the acceptance box at registration or confirming acceptance in the dialog shown after a material change). The Company records the version accepted, the date and time, and the technical details of the acceptance (IP address, browser and language) as evidence of your consent, as described in the Privacy Notice.

    2.5 Where the Company issues a materially changed version of these Terms, you will be asked to accept the new version before continuing to use the Platform (Article 18). Registered Users who do not accept the new version may stop using the Platform and request account deletion under Article 14.

    2.6 Acceptance of these Terms is not consent to financing-partner sharing. Sharing your data with a Financing Partner is a separate, optional choice that requires a separate, unticked consent box (Article 9). Declining that choice does not affect your ability to use the Platform.

    Article 3 — Account, security and verification#

    3.1 Verification of contact details. The Company verifies your phone number and, where applicable, your email address by one-time passcodes (OTP) delivered by WhatsApp, SMS or email. You must have access to the phone number and email address you register.

    3.2 One account per person. You may hold only one account per role. You may not create accounts for other persons without their authority, and you may not transfer, sell or share your account. Accounts of Affiliate Partners are created by the Company and may be linked to an organisation sign-on; the Affiliate Partner is responsible for the individuals it allows to use that access.

    3.3 Credentials. You are responsible for keeping your password, one-time passcodes and session confidential. All actions performed through your account are treated as performed by you until you notify the Company that your account has been compromised at legal@binacenter.com. The Company is not responsible for losses caused by your failure to protect your credentials.

    3.4 Security notices. You must notify the Company without delay if you become aware of any unauthorised use of your account or any security incident affecting the Platform.

    3.5 Suspension. The Company may suspend, restrict or impose additional verification on an account where it reasonably suspects a breach of these Terms, fraud, a security risk, or a legal requirement. The Company will inform you of the suspension and, where lawful and practicable, the reason, and will lift the suspension once the issue is resolved.

    Article 4 — Role of the Platform#

    4.1 Intermediary only. The Platform is an online marketplace that enables Customers to describe Projects, Contractors to submit Offers, and both to communicate. The Company does not perform construction, renovation, engineering or design works and is not a party to any agreement for such works.

    4.2 Contract between Customer and Contractor. When a Customer hires a Contractor's Offer through the Platform, a contract for the works is formed directly between that Customer and that Contractor, on the terms they agree. The Company is not a party, guarantor, agent or representative of either of them. Payment for the works, if any, is a matter between the Customer and the Contractor and does not pass through the Platform.

    4.3 No guarantee of quality or outcome. The Company verifies certain Contractor documents (Article 6) but does not inspect works, supervise sites on its own behalf, or guarantee that any Contractor will perform, that works will be completed on time or to a given standard, that an Offer will be accurate, or that any Project will receive Offers.

    4.4 Estimates are indicative. Any cost, duration or quantity shown on the Platform, including any value produced by Platform tools or displayed with a Project or Offer, is indicative only. The binding price and scope are those agreed between the Customer and the Contractor.

    4.5 Engineers. Where an Engineer is involved in a Project, the Engineer acts under an arrangement with the Company (Article 7) and not as the Customer's or Contractor's employee or agent. Any observation, report or note provided by an Engineer through the Platform is intended to assist the parties and does not replace the Customer's and Contractor's own responsibility for the works and their legal compliance.

    4.6 Permits and compliance. Customers and Contractors are each responsible for obtaining any permits, licences, insurance and approvals required for the works and for complying with applicable laws, municipal requirements and the Saudi Building Code.

    4.7 No Project payments through the Platform. No payment for works, and no other sum due between a Customer and a Contractor, is paid into, held by or paid out through the Platform or the Company (see also Articles 10.6 and 16.4).

    4.8 No drafting, negotiation or signature. The Company does not draft, negotiate or sign the contract between the Customer and the Contractor, and does not act for either of them in agreeing it. Platform features such as Offer forms, messaging and indicative estimates are tools that the parties use themselves.

    4.9 No supervision of works. The Company does not supervise, direct or control the execution of the works, the site or the Contractor's personnel. Where an Engineer is involved in a Project, the Engineer acts independently under Articles 4.5 and 7, and the Engineer's involvement does not make the Company a supervisor of the works or responsible for them.

    4.10 The Company's revenue. The Company's revenue from Contractors consists of the Subscription fees under Article 6.3 and the commission on hired Offers under Article 6.10. The Company charges Customers nothing (Article 5.1). Neither amount is charged to the Customer or deducted from any payment for the works.

    Article 5 — Customers#

    5.1 Free of charge. The Company does not charge Customers any fee for registering, posting Projects, receiving Offers, communicating with Contractors or using the dispute tool. Any sums a Customer pays for works are paid to the Contractor under their own contract.

    5.2 Posting a Project. A Customer may post a Project by selecting a category and completing the required information, including the Project name, description, timeline, city and any category-specific questions and files. Projects may be saved as drafts and are reviewed by the Company before publication. The Company may decline to publish, or may remove, a Project that is incomplete, unlawful, outside the Platform's scope or in breach of Article 11 or 12.

    5.3 Accuracy. The Customer is responsible for the accuracy and completeness of the Project description, site address, photographs and files, and must update the Project if circumstances change. Contractors rely on this information when preparing Offers.

    5.4 Receiving and selecting Offers. The Customer may review Offers, ask questions through Platform messaging, and hire the Offer of their choice. The Customer is under no obligation to hire any Offer. Hiring an Offer forms a contract between the Customer and the Contractor as described in Article 4.2. The Customer should confirm the final scope, price, timeline, payment schedule and warranty terms with the Contractor before works begin.

    5.5 Sharing of Customer information. By posting a Project, the Customer understands that the Project details, site address and attachments are shown to verified Contractors eligible to submit Offers and to any Engineer assigned to the Project, and that the Customer's phone number is shown to a Contractor only when that Contractor's Subscription permits it and the reveal is logged, as described in the Privacy Notice.

    5.6 Reviews. After hiring, a Customer may post a rating and review of the Contractor. Reviews must be truthful, based on the Customer's own experience, and free from abusive or unlawful content. The Company may remove reviews that breach these Terms but does not edit the substance of a review.

    5.7 Conduct. The Customer must treat Contractors and Engineers respectfully, respond to communications in good time, attend agreed site visits, and must not use the Platform to obtain Offers for purposes other than a genuine intention to carry out the Project.

    Article 6 — Contractors#

    6.1 Verification. To be verified and submit Offers, a Contractor must submit the documents requested by the Company, which include its commercial registration, VAT registration details where applicable, the national identity document of its authorised representative, its national address document, and its cities of operation and skills. The Company may request additional documents and may accept or decline a verification request at its discretion. The Contractor must keep these documents current and notify the Company of any change in its legal status.

    6.2 Subscription plans. Access to Platform capabilities, including the number of Projects a Contractor may apply to per billing month, visibility of Customer contact details, direct submission of Offers, direct comments to Customers and sharing of contact information, depends on the Subscription plan held. Plan features, prices and the monthly application limit are shown on the Platform before purchase. The Company may change plans for future periods; a change does not affect a Subscription already paid for its current period.

    6.3 Billing. Subscription fees are stated in Saudi riyals (SAR) and are payable in advance for the Subscription period by one of the following methods as offered on the Platform: (a) Tamara buy-now-pay-later checkout, subject to Tamara's own terms and limits, or (b) bank transfer to the Company's account, with upload of the transfer receipt, which the Company records manually. A Subscription paid by bank transfer is activated only after the Company confirms receipt of funds. Payment made through Tamara is a contract between the Contractor and Tamara for the instalments; the Company receives the Subscription fee from Tamara.

    6.4 Non-refundable. Subscription fees are non-refundable once the Subscription or upgrade has been activated, including where the Contractor does not use the plan's features, fails verification for reasons within the Contractor's control, is suspended or terminated for breach of these Terms, or stops using the Platform. If a payment is received but the Company is unable to activate the Subscription for reasons attributable to the Company, the Company will refund that payment.

    6.5 Period and renewal. A Subscription runs for the period stated on the plan from its activation date. Monthly application limits are counted per billing month anchored to the activation date. Subscriptions do not renew automatically. To continue after the period ends, the Contractor purchases a new Subscription and pays for it under Article 10. A Subscription that expires without renewal reverts the Contractor to the capabilities of an unsubscribed account.

    6.6 Offers. An Offer must state a price and scope that the Contractor is willing and able to perform. Once a Customer hires an Offer, the Offer becomes the basis of the contract between the Contractor and the Customer and binds the Contractor under that contract. The Contractor may not condition an Offer on moving the dealing off the Platform. The Platform screens Offers automatically as described in Article 11.4.

    6.7 Performance obligations. The Contractor must: (a) hold and maintain all licences, registrations, classifications and insurance required for the works it offers; (b) perform works in accordance with the agreed Offer, applicable laws, municipal requirements and the Saudi Building Code; (c) use qualified personnel and comply with occupational safety requirements; (d) deal honestly with Customers and respond to their communications and to any Engineer assigned to the Project in good time.

    6.8 Confidentiality of Customer data. Customer names, phone numbers, site addresses, photographs, files and messages received through the Platform may be used only to prepare and perform the Offer for that Project. The Contractor may not copy them into marketing lists, share them with third parties except its own personnel and sub-contractors engaged on that Project, or contact the Customer about unrelated matters. The Contractor is responsible for any personal data it processes outside the Platform.

    6.9 No off-platform solicitation. The Contractor must not invite a Customer to cancel or withdraw a Project in order to contract outside the Platform, must not include contact details or prices in fields where the Platform prohibits them, and must not use information obtained through the Platform to approach Customers for Projects it did not win on the Platform.

    6.10 Platform commission on hired Offers. When a Customer hires a Contractor's Offer, the Contractor owes the Company a commission equal to the commission percentage of the Contractor's Subscription plan at the time of hiring, applied to the value of the hired Offer. The commission is payable once the Contractor receives payment from the Customer for the Project, either in full or in instalments that follow the Customer's payment schedule, as agreed in writing between the Contractor and the Company. VAT is added where required by law. The Company issues an invoice or statement for each commission. Commission amounts are not charged to the Customer and are not collected from the Customer through the Platform. Unpaid commission is a debt owed to the Company; the Company may suspend or restrict the Contractor's account, including the ability to submit Offers, until it is settled, and may recover it through any lawful means.

    Article 7 — Engineers#

    7.1 Application and vetting. Individuals may apply to serve as Engineers by submitting the application form on the landing site, including their qualifications, experience, certificates and expected compensation. The Company vets applications and admits Engineers at its discretion. Submitting an application does not create any obligation on the Company to admit the applicant or to make any Project available to them.

    7.2 Making Projects available. The Company makes Projects available to Engineers through the Platform for acceptance, including Projects in the Engineer's registered city. An Engineer is free to accept or decline any Project. Once an Engineer accepts a Project, a direct conversation with the Customer is opened on the Platform. The Company may withdraw a Project that has not been accepted, or a Project that the Engineer has abandoned (including by becoming unavailable or unresponsive) or in relation to which the Engineer is in breach of these Terms, and make it available to another Engineer.

    7.3 Compensation and independent status. Engineers are compensated by the Company under the arrangement agreed between the Company and the Engineer. Engineers must not request or accept any payment, gift or benefit from a Customer or Contractor in relation to a Project, and Customers are not required to pay Engineers for their involvement through the Platform. The Engineer acts as an independent contractor and not as an employee of the Company. In particular, the Engineer: (a) determines their own working hours and working methods; (b) uses their own tools and equipment; (c) is free to provide services to others, subject to the conflict-of-interest and confidentiality duties in Articles 7.4 and 7.5; (d) is paid per Project under the separate written agreement with the Company; (e) bears their own professional licences, taxes, Zakat and insurance (Article 10.5); and (f) is not subject to the Company's supervision or direction beyond what these Terms require.

    7.4 Professional duties. The Engineer must act impartially and competently, hold any professional licence or registration that the law requires for the activities they undertake, disclose any conflict of interest with a Customer or Contractor before acting on a Project, record observations and notes truthfully on the Platform, and comply with applicable engineering practice rules and the Saudi Building Code.

    7.5 Confidentiality. Project details, Customer contact information, site information and files received by an Engineer through the Platform may be used only for the Project the Engineer has accepted and must not be disclosed to third parties or used after the Engineer's involvement in that Project ends, except as required by law.

    7.6 Independence. Nothing in these Terms makes an Engineer an employee, partner or agent of a Customer or Contractor. The relationship between the Engineer and the Company is governed by these Terms and any separate written agreement between them.

    Article 8 — Affiliates and Affiliate Partners#

    8.1 Referral links. An Affiliate or Affiliate Partner receives a referral code and link. A visitor who arrives through the link and registers as a Customer within the attribution window (currently thirty days from the click, first click wins) is recorded as referred. Only Customer registrations count; self-referrals and referrals of existing Users are not recognised.

    8.2 When commission accrues. Commission is not earned on registration, on posting a Project, or on receiving Offers. A referral commission may become payable only when (a) the referred Customer hires an Offer on the Platform for the first time, (b) the hired Contractor holds an active Subscription, (c) the Affiliate's profile is active, and (d) the Company's administrators have reviewed the hire and recorded the commission. Until the Company records it, no commission is owed. The Company determines the commission amount using the rates published in the Affiliate's account and may adjust the amount with a recorded reason. The Company may offer Affiliate Partners additional commission types (for example, a share relating to the first paid Subscription of a referred Contractor) under written terms specific to that Partner.

    8.3 Rates. Commission rates and the minimum payout amount are shown in the Affiliate's account on the Platform and may be changed by the Company for future referrals with notice. A change does not affect commissions already recorded.

    8.4 Payout. An Affiliate may request payout of approved commission once the approved balance reaches the minimum payout amount. Payout is made by bank transfer to the IBAN registered in the Affiliate's account, in Saudi riyals, after the Company approves the request. The Affiliate is responsible for the accuracy of the bank details provided and for any taxes due on commission received. The Company may require identification or tax documents before paying.

    8.5 Clawback and reversal. The Company may reverse, reject or recover a commission, including by offsetting against future commission or by demanding repayment, where the related Project fails or is cancelled, the related payment is refunded or charged back, the referral was obtained in breach of these Terms, or the Company reasonably determines that the referral or hire was fraudulent, self-dealing or not genuine.

    8.6 Affiliate Partner accounts. Affiliate Partners are companies admitted by the Company. Their accounts and any linked individual Affiliate accounts are created or enabled by the Company and may use organisation sign-on. The Affiliate Partner is responsible for the acts of individuals using its access and of Affiliates linked to it. Affiliate Partners see only the referred Customer's first name, email and referral status and do not see Project titles or Offer amounts.

    8.7 Promotion rules. Affiliates and Affiliate Partners must describe the Platform accurately and must not: imply that they are the Company or act on its behalf; promise financing, discounts, outcomes or commissions that the Company has not published; use spam, unsolicited messaging, paid search on the Company's brand names, or deceptive placement of links; or offer inducements to Customers to register or hire. The Company may terminate the referral relationship and forfeit unpaid commission for breach of this Article.

    Article 9 — Financing referrals#

    9.1 Optional service. The Platform offers Users and landing-site visitors the option to request that their financing enquiry be passed to a Financing Partner. This is an optional service. It is not required to use any other part of the Platform, and declining it has no effect on your account, Projects or Offers.

    9.2 Separate explicit consent. The Company transmits your financing request only after you tick a separate, unticked consent box that names this purpose. Accepting these Terms, creating an account or posting a Project does not constitute that consent. You may withdraw your consent at any time in your account settings or by writing to privacy@binacenter.com; withdrawal stops future transmissions, and the Company will instruct the Financing Partner to destroy the data it received from the Company, as set out in the Privacy Notice.

    9.3 The Company is not a financing entity. The Company is not licensed by the Saudi Central Bank (SAMA), does not provide financing, does not assess creditworthiness, does not arrange or negotiate financing terms, does not receive or hold any financing funds, and does not act as a financing agent or intermediary within the meaning of the finance laws and regulations of the Kingdom. The Company only forwards the information you choose to submit.

    9.4 Contract with the Financing Partner. Any financing application, assessment, offer or contract is made solely between you and the Financing Partner under that partner's own terms and the regulations that apply to it. The Financing Partner is an independent controller of the data it receives. The Company is not responsible for the Financing Partner's decisions, terms, timing or conduct.

    9.5 No guarantee of approval. The Company does not promise that a Financing Partner will contact you, make an offer or approve financing, and does not promise any rate or amount. Information you give in a financing request is indicative; the Financing Partner may require further information and documents directly from you.

    9.6 Current Financing Partners. The Financing Partners to which the Company may transmit requests are listed in the Privacy Notice. The Company may add partners that process the same categories of data for the same purpose without seeking new consent, and will update the list.

    Article 10 — Payments and taxes#

    10.1 Currency and VAT. All prices on the Platform are in Saudi riyals. Subscription prices are shown inclusive or exclusive of value added tax (VAT) as indicated at the point of purchase, and VAT is applied at the rate in force at the time of payment. The Company issues a tax invoice for each Subscription payment it receives, available in the Contractor's account or by request.

    10.2 Tamara. Where you pay through Tamara, you enter into Tamara's customer agreement and Tamara's terms, fees, instalment schedule, eligibility rules and transaction limits apply to the payment. Tamara may decline a transaction. The Company does not receive your Tamara account credentials and is not responsible for Tamara's services.

    10.3 Bank transfer. Where you pay by bank transfer, you must transfer the exact amount shown to the account displayed on the Platform and upload a receipt. Transfers from accounts not in the Contractor's name, partial transfers or transfers without reference may delay activation while the Company verifies them. Commission under Article 6.10 is paid by bank transfer to the account stated on the invoice or statement, unless the Company agrees another method in writing.

    10.4 Chargebacks and reversals. If a Subscription payment is reversed, charged back, cancelled or refunded other than at the Company's initiative, the Company may suspend the related Subscription immediately, remove capabilities obtained through it, recover any related commission under Article 8.5, and recover the unpaid amount together with reasonable costs. You must not initiate a chargeback for a Subscription that has been activated; raise any payment dispute with the Company first at legal@binacenter.com.

    10.5 Taxes on your income. Each Contractor, Engineer, Affiliate and Affiliate Partner is responsible for declaring and paying any Zakat, income tax, withholding tax or VAT due on amounts it earns, including commission paid by the Company. The Company may withhold amounts where the law requires it and will keep payment and payout records for the period required by the Zakat, Tax and Customs Authority.

    10.6 No payments between Users through the Platform. The Platform does not process or hold payments between Customers and Contractors. Any payment request sent through the Platform messaging that purports to be from the Company should be reported to legal@binacenter.com.

    Article 11 — Content and conduct#

    11.1 Your content. You retain ownership of the text, images, documents, Offers, reviews, messages and other material you submit to the Platform ("User Content"). You grant the Company a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display, translate and transmit your User Content for the purpose of operating, securing, moderating and improving the Platform and providing it to other Users as these Terms describe. This licence ends when the content is deleted from the Platform, except for copies kept in backups for the retention period stated in the Privacy Notice and copies the Company must keep by law or to resolve a dispute.

    11.2 Public portfolio. Contractor portfolio images, legal name, bio and rating are shown to Customers and may be stored on publicly accessible storage, as stated in the Privacy Notice. Do not upload images you are not entitled to publish.

    11.3 Prohibited content. You must not submit content that is unlawful, defamatory, fraudulent, infringes another person's intellectual property or privacy, contains malware, is sexually explicit, incites violence or hatred, discloses another person's personal data without authority, or is unrelated to the Project or Platform.

    11.4 Automated screening. Offers and comments are screened automatically, using pattern rules and a text-analysis model, for phone numbers, email addresses, external links and prices in fields where they are not permitted, in order to prevent off-platform dealing and fee circumvention. A submission that fails screening is blocked and the Platform shows you an error so that you can revise it. No account-level decision with legal effect is made solely by the screening. If you believe your content was blocked in error, you may request human review by writing to privacy@binacenter.com; the Company will respond within five (5) business days.

    11.5 Moderation. The Company may review, decline to publish, remove or edit the visibility of any User Content that breaches these Terms or the law, and may hold content from Contractors whose Subscription does not include direct publication for review before it reaches the Customer. The Company is not obliged to monitor all content and is not responsible for User Content authored by Users.

    11.6 Messaging. Platform messaging and chats are provided for communication about Projects. Messages are stored and may be accessed by the Company's administrators for support, dispute resolution, security and legal compliance, as described in the Privacy Notice.

    11.7 Feedback. If you give the Company suggestions about the Platform, the Company may use them without obligation to you.

    Article 12 — Prohibited practices#

    12.1 You must not, and must not help others to:

    (a) impersonate any person or entity, including the Company, its staff, an Engineer, a Contractor or a Financing Partner, or misrepresent your qualifications, licences or affiliation;

    (b) circumvent or attempt to circumvent Subscription limits, verification, screening or fees, including by creating multiple accounts, splitting Projects, or disguising contact details or prices;

    (c) take a dealing that began on the Platform off the Platform in order to avoid these Terms, or solicit Users obtained through the Platform for off-platform work (Articles 6.9 and 5.7);

    (d) scrape, crawl, harvest, copy or index the Platform or its data by automated means, build databases of Users or Projects, or access the Platform other than through the interfaces the Company provides;

    (e) probe, scan or test the vulnerability of the Platform, bypass security or rate limits, introduce malicious code, or interfere with the Platform's operation;

    (f) harass, threaten, discriminate against or abuse any User or Company staff, or post retaliatory reviews or conflicts;

    (g) use the Platform to promote a competing marketplace, to advertise services unrelated to a Project, or to recruit Users for another platform;

    (h) submit fake Projects, fake Offers, fake reviews, fake referrals or fake disputes, or otherwise manipulate ratings, commissions or Platform statistics;

    (i) use the Platform for money laundering, terrorism financing, bribery or any other unlawful purpose, or in breach of sanctions;

    (j) resell, sub-license or commercially exploit access to the Platform or any Company data without the Company's written agreement.

    12.2 The Company may investigate suspected prohibited practices, preserve relevant records, suspend accounts during investigation, and report unlawful conduct to the competent authorities.

    Article 13 — Disputes between Users#

    13.1 In-app conflict tool. Where a Customer has hired an Offer, either the Customer or the Contractor may raise a conflict on that Project through the Platform's conflict tool, stating a reason and description. Only one conflict may be opened per Project. The party raising it may edit it within a short period after submission as shown on the Platform.

    13.2 Admin mediation. When the Company's administrators accept a conflict, they open a group conversation with both parties, may request documents and evidence, and record a resolution identifying the outcome and a written solution. The Company acts as a good-faith mediator. Mediation outcomes are recommendations and are not binding on either party, do not amount to an arbitral award or expert determination, and have no automated financial effect through the Platform.

    13.3 Platform measures. While a conflict is pending or open, the Company may archive the parties' direct Project chat, freeze or hide Offers on the Project, prevent new hires on it, suspend related referral commission (Article 8.5), and restrict either party's account where these Terms have been breached. The Company may close a conflict that is abandoned, abusive or outside the Platform's scope.

    13.4 Your own remedies. The conflict tool does not replace the parties' rights under their contract or the law. Either party may pursue its claim against the other before the competent courts or authorities of the Kingdom of Saudi Arabia, including the bodies competent for construction and commercial disputes. The Company is not liable for the other party's performance and is not required to take sides, pay compensation or enforce a mediation outcome.

    13.5 Cooperation with authorities. The Company will provide records relating to a Project to a court or competent authority on a lawful request, and may provide a party with copies of that party's own records on request.

    Article 14 — Suspension and termination#

    14.1 By you. You may stop using the Platform at any time and may request deletion of your account through account settings or by writing to privacy@binacenter.com, following the procedure in the Privacy Notice. Deletion does not entitle a Contractor to a refund of Subscription fees (Article 6.4), does not release you from obligations you have incurred to another User, and does not cancel approved commission that the Company owes you, which the Company will pay on request where the payout conditions in Article 8.4 are met.

    14.2 By the Company. The Company may suspend or terminate your account and access to the Platform, in whole or in part, with notice to the email address on your account, where: (a) you materially breach these Terms or repeatedly breach them after warning; (b) you have engaged in fraud, a prohibited practice under Article 12, or conduct that harms other Users or the Company; (c) a court, regulator or law requires it; (d) your account is used in connection with a security incident; or (e) you have not logged in for a continuous period of at least two (2) years. Where the ground is minor and curable, the Company will give you a reasonable opportunity to cure before termination.

    14.3 Effect on Subscriptions. Termination for your breach ends your Subscription without refund. Termination by the Company for a reason not attributable to you (including discontinuation of the Platform) entitles a Contractor to a pro-rated refund of the Subscription fee for the unused period.

    14.4 Effect on commissions. Termination for breach forfeits unpaid commission relating to referrals obtained in breach. Other approved commission remains payable under Article 8.4. Commission that has not yet been recorded by the Company at the date of termination is not owed.

    14.5 Effect on Projects and contracts. Termination of your account does not terminate a contract you have made with another User; you remain bound to that User. Open Projects of a terminated Customer are withdrawn from the Platform and Contractors who submitted Offers are informed that the Project is no longer available.

    14.6 Survival. Articles 4, 6.8, 7.5, 8.5, 10, 11.1, 13.4, 15, 16, 17, 19 and 20 and any accrued rights survive termination.

    Article 15 — Intellectual property#

    15.1 The Platform, including its software, design, databases, trade marks (including "Bina Center" and "بناء سنتر"), logos, texts, templates, categories, forms and documentation, is owned by or licensed to the Company and is protected by the intellectual property laws of the Kingdom of Saudi Arabia and international treaties.

    15.2 The Company grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose in accordance with these Terms. No other right is granted. You must not copy, modify, decompile, reverse engineer, create derivative works of, or remove notices from the Platform.

    15.3 You may not use the Company's names, trade marks or logos without prior written permission, except that Affiliates and Affiliate Partners may use the referral materials and brand assets provided by the Company, as provided and for the referral programme only.

    15.4 Each User remains the owner of its own User Content (Article 11.1). Contractors retain rights in their designs and portfolio works; by uploading them they confirm that they have the right to display them on the Platform.

    15.5 If you believe content on the Platform infringes your intellectual property, write to legal@binacenter.com identifying the content, your right and your contact details. The Company will review the notice and may remove or disable access to the content.

    Article 16 — Disclaimers and limitation of liability#

    16.1 Platform provided as available. The Company provides the Platform with reasonable care and skill but does not promise that it will be uninterrupted, error-free, secure against every threat, or available at all times. The Company may suspend the Platform for maintenance, security or upgrades and will try to minimise disruption.

    16.2 No warranty as to Users or works. To the extent permitted by the laws of the Kingdom of Saudi Arabia, the Company gives no warranty regarding the identity beyond the documents it has verified, the qualifications, the solvency or the performance of any Customer, Contractor, Engineer, Affiliate, Affiliate Partner or Financing Partner, or regarding the quality, safety, legality, timing or completion of any works.

    16.3 Exclusions. To the extent permitted by law, the Company is not liable for: (a) loss of profit, loss of business, loss of opportunity or indirect or consequential loss; (b) loss arising from the acts or omissions of another User or a Financing Partner; (c) loss arising from your breach of these Terms, your failure to protect your credentials, or your reliance on indicative estimates; (d) loss arising from events outside the Company's reasonable control, including failures of telecommunications, payment providers, hosting providers or messaging providers, and governmental acts.

    16.4 No monetary liability. The Company is a technical intermediary that connects Customers with Contractors and Engineers. To the fullest extent permitted by the laws of the Kingdom of Saudi Arabia, the Company has no liability to any User for compensation, damages, refunds or any other monetary amount arising from or in connection with the Platform, these Terms, any Project, any Offer, any contract between Users, or any act or omission of another User. The Company does not receive, hold or pay out Project funds on behalf of any User.

    16.5 Carve-outs. Nothing in these Terms excludes or limits the Company's liability for death or personal injury caused by its negligence, for its fraud or wilful misconduct, for its gross negligence, for any breach of the personal data protection law that cannot lawfully be excluded, or for any other liability that cannot be excluded or limited under the laws of the Kingdom of Saudi Arabia.

    16.6 Indemnity. You will compensate the Company for losses, costs and reasonable legal fees it incurs from third-party claims arising from your User Content, your breach of these Terms, your breach of law, or your dealings with another User, except to the extent caused by the Company's own fault.

    16.7 Time for claims. Any claim against the Company arising from these Terms must be notified to the Company within one (1) year from the date the claimant became aware of the event giving rise to it, without prejudice to any longer period that the law does not permit to be shortened.

    16.8 Meaning of the "Authenticated" badge. The "Authenticated" badge shown on a Contractor's profile means only that the Contractor submitted the documents requested under Article 6.1 (such as its commercial registration and licences) and that the Company reviewed those documents on their face at the time they were submitted. The badge is not a recommendation or endorsement of the Contractor by the Company, and is not a guarantee of the quality, safety, timeliness or legality of any works. The Company does not re-verify Contractors continuously; the Contractor remains responsible for keeping its documents current under Article 6.1.

    Article 17 — Personal data#

    17.1 The Company processes personal data in accordance with the Personal Data Protection Law of the Kingdom of Saudi Arabia and its Implementing Regulations, as described in the Privacy Notice. The Privacy Notice explains what data is collected for each role, why, with whom it is shared, how long it is kept, and your rights, including the right to access, correct and request destruction of your data and to withdraw consent.

    17.2 The Company does not use your personal data for marketing. It does not send marketing emails or messages, does not build advertising profiles, and does not sell personal data. The Company sends only service messages necessary to operate the Platform (one-time passcodes, Project and Offer updates, payments, legal notices and security alerts).

    17.3 Users who receive other Users' personal data through the Platform (Contractors, Engineers, Affiliates and Affiliate Partners) are responsible for processing it lawfully and only for the purpose for which it was shared, as set out in Articles 6.8, 7.5 and 8.6.

    17.4 Questions and requests about personal data may be sent to privacy@binacenter.com or made in account settings.

    Article 18 — Changes to the Terms#

    18.1 The Company may amend these Terms. Each version carries an effective date in the header, which is also recorded as the version you accepted.

    18.2 Material changes (for example, changes to fees, refunds, liability, dispute handling, your rights or obligations, or the role of the Platform) take effect for existing Users only after they accept the new version. The Company will publish the new text on the Platform, notify registered Users by email or in-app notice, and ask you to accept the new version before you continue using the Platform. If you do not accept, you may stop using the Platform and request deletion under Article 14.1; Subscriptions already paid continue on the previous version until the end of their current period unless you accept the new version.

    18.3 Non-material changes (for example, clarifications, corrections of wording, updates to contact details or references) take effect on publication without re-acceptance.

    18.4 Previous versions are available on request to legal@binacenter.com.

    Article 19 — Governing law and jurisdiction#

    19.1 These Terms, and any dispute or claim arising out of or in connection with them or the Platform, are governed by the laws and regulations of the Kingdom of Saudi Arabia.

    19.2 The competent courts of the Kingdom of Saudi Arabia have exclusive jurisdiction over any dispute between you and the Company.

    19.3 Nothing in this Article limits a consumer's right under Saudi law to bring a complaint before the competent authority.

    19.4 If any provision of these Terms is held invalid or unenforceable, the remainder continues in force and the invalid provision is replaced by a valid provision that most closely achieves its purpose.

    19.5 These Terms, the Privacy Notice and any plan-specific or partner-specific written terms referred to in them form the entire agreement between you and the Company regarding the Platform and supersede all previous versions. In the event of conflict, a partner-specific written agreement prevails over these Terms for the matters it covers, and the Arabic text of these Terms prevails over the English text.

    19.6 The Company may assign these Terms to a successor that acquires the Platform, with notice to you. You may not assign your rights or obligations without the Company's written consent.

    19.7 A failure or delay by the Company to enforce any provision is not a waiver of it.

    Article 20 — Notices and contact#

    20.1 Notices to you. The Company may give notices by email to the address on your account, by in-app notification, by message to your verified phone number, or by posting on the Platform. A notice is deemed received when sent to the contact details on your account. Keep them current.

    20.2 Notices to the Company. Legal notices to the Company must be sent by email to legal@binacenter.com or by registered mail to the National Address in the header of these Terms. Personal data requests go to privacy@binacenter.com. Payment and support questions may be raised through the Platform's support channels.
